Terms of Service
The service
Midbench keeps your company's accounting records: it connects read-only to the financial services you authorize, keeps your books current, answers questions about them, and produces financial statements. Depending on your arrangement, Midbench is delivered as an accountant-run engagement (your engagement letter governs alongside these terms) or as a self-serve subscription you operate through your own account.
Your account and authorizations
You must have the authority to connect the accounts and services you connect, and to accept these terms for your business. Sign-in uses a passkey-first account at our managed identity provider; you are responsible for the devices and authenticators that hold your passkeys and for the people you allow to use your account. One account holds the keys to one business's books. Connection authorizations are yours to revoke at any time, and revoking your account's access takes effect immediately on our side.
How changes to your books happen
The service applies routine, policy-screened bookkeeping automatically and records every change attributably and reversibly. Anything elective — policies, structural changes, larger adjustments — waits for your explicit confirmation through your own account. Midbench never moves money: payment authorization is never part of this service's bookkeeping autonomy.
Fees
Accountant-run engagements are billed per the engagement letter. Self-serve subscriptions are billed per the pricing agreed at signup. Taxes are yours where the law puts them on you.
Your data
Your books are yours. You can export your complete records — books, audit trail, and evidence index — at any time, and our privacy policy describes what we store and how deletion works. We use your data to provide the service, not to sell.
What we promise, and what we don't
We work to keep the service accurate, available, and honest about its own state — every figure traceable to evidence. The service is provided “as is” to the maximum extent the law allows; Midbench is not your auditor, tax preparer, or fiduciary unless an engagement letter says so. Our aggregate liability for any claim is capped at the fees you paid us in the twelve months before the claim arose.
Ending the relationship
You may stop at any time: disconnect your providers, take your export, and close the account. We may suspend or end service for non-payment or misuse, with your export available either way. Sections that by their nature survive (fees owed, liability limits, data terms) survive.
Changes
If these terms change materially, we will post the updated version here with a new effective date; continued use after the date is acceptance.
